Welcome to Good Vibes Wellness. These Terms of Use and Service (the "Terms") govern your use of Good Vibes Wellness, its social media platforms, communications and its website(s), as well as any information, suggestions, links, recipes, programs, merchandise, testimonials and advice available thereon (collectively, the "Website"), so please read them carefully.

By viewing, accessing or using the Website or receiving or accessing any other materials from Good Vibes Wellness, you agree to all of these Terms, without exception.

1. Release of Liability

By accessing the Website, or receiving or viewing any materials from Good Vibes Wellness, you acknowledge and agree that Good Vibes Wellness, its affiliates, partners, principals, providers, licensees and assigns (collectively "Good Vibes") is not liable for any direct, indirect, incidental, special, consequential or punitive damages, negligence, injury, death, or any loss of any kind (the "Losses") that may result from your use of the Website, any content on it or linked to it, and any other information provided by Good Vibes.

You, on behalf of yourself, your heirs, successors, affiliates and assigns, hereby release the Website and Good Vibes from any claim, proceeding, cause of action, liability, including without limitation the Losses, and waive any recourse of any type in relation thereto. This includes, but is not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of your use of the Website or any Good Vibes information, whether from foreseeable, foreseen, unforeseeable or unforeseen consequences.

2. User-Generated Content Agreement

By posting, commenting, or providing photos, videos, music or artwork on the Website, you grant Good Vibes and the Website a non-exclusive, worldwide, royalty-free, perpetual and irrevocable right and license to use, reproduce, distribute, display and create derivative works from any such content for marketing, social media and any other purposes. You acknowledge that any content you provide of any type may be shared on the Website, Good Vibes' platforms, including marketing materials, social media accounts and other promotional or distribution channels whether now known or later devised.

3. Consultation with Medical Professionals

You expressly understand and agree that any health or wellness advice and, programs or information provided by Good Vibes, whether on the Website or via any other media, are for informational purposes only. The Website and Good Vibes are not medical, dietary, psychiatric, or healthcare providers.

Before starting any health or fitness program, including any exercise or dietary, or mental health or behavioral changes, it is your responsibility to consult with a qualified doctor or other medical professional. Good Vibes strongly recommends that you consult with your doctor about any activities or changes you are contemplating implementing based on information on the Website or provided by Good Vibes elsewhere, and you hereby agree to do so. Any information provided by Good Vibes, on the Website or elsewhere, is not a substitute for professional or medical advice. You should not use any provided information to diagnose or treat any health problems or illnesses.

4. Individual Arbitration Agreement

You, on behalf of yourself, your heirs, successors, affiliates and assigns, hereby agree that any dispute, cause of action or claim arising out of or in relation to your use of any Good Vibes platform, communication, social media or the Website, including but not limited to claims related to privacy, publicity, the services or information provided, or any content on the Website or elsewhere, shall be resolved by binding individual arbitration. You and Good Vibes Wellness agree to irrevocably waive your right to bring a lawsuit in any court and to have a jury, bench, or administrative trial or hearing on any dispute.

You and Good Vibes agree that the arbitration will be conducted in accordance with the rules of the American Arbitration Association. Any judgment or default on any award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The laws of the State of New York shall govern any such arbitration and it shall take place in New York, New York unless both you and Good Vibes agree in writing to a different location.

5. Changes to Terms

Good Vibes reserves the right to modify or revise these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on the Website or any other Good Vibes platform. Your continued use of the Website or any other Good Vibes platform, communication, or social media after any such changes constitutes your acceptance of all of the new Terms.

Good Vibes Wellness reserves the right to modify, discontinue, or alter the cadence and distribution of its offerings at any time without prior notice. Subscribers acknowledge that the nature of the services provided may evolve, increase, decrease, or cease entirely, and the company is under no obligation to provide a specific set of offerings as long as access to the Good Vibes Wellness website continues. Refunds are not available for any subscription payments, regardless of the timing of the cancellation. All subscribers have the option to cancel their subscription at any time but will not be due any proration of previous payments. To do so, subscribers must log in to their account and follow the cancellation instructions.

6. Account Terms and User Responsibilities

Account Creation and Security

To access certain features of Good Vibes Wellness, including subscription services and device apps, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security and confidentiality of your password and account credentials
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activities that occur under your account

You are solely responsible for any activities conducted through your account, whether or not you authorized such activities.

Account Termination

Good Vibes reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

Violation of these Terms
Fraudulent, abusive, or illegal activity
Extended periods of inactivity
Upon your request

Upon termination, your right to access and use the services will immediately cease, and we may delete your account and associated data.

7. Intellectual Property Rights

Good Vibes Content

All content on the Website and in our apps, including but not limited to workout videos, recipes, articles, podcasts, images, graphics, text, software, code, designs, and logos (collectively "Good Vibes Content"), is the exclusive property of Good Vibes Wellness or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not:

Copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit Good Vibes Content for any commercial purposes without our express written consent
Modify, create derivative works from, reverse engineer, or attempt to extract source code from Good Vibes Content
Remove, alter, or obscure any copyright, trademark, or other proprietary notices from Good Vibes Content
Use Good Vibes Content in any manner that could imply endorsement or association without our written permission

Limited License

Subject to your compliance with these Terms, Good Vibes grants you a limited, non-exclusive, non-transferable, revocable license to access and use Good Vibes Content solely for your personal, non-commercial use through our authorized platforms.

8. Payment Terms and Billing

Subscription Fees

Access to premium features requires a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase. All fees are in U.S. dollars unless otherwise stated.

Payment Processing

Payments are processed securely through Stripe, a third-party payment processor. You authorize Good Vibes to charge your selected payment method for all subscription fees. By providing payment information, you represent that you are authorized to use the payment method provided.

Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current subscription rate.

Price Changes

Good Vibes reserves the right to change subscription fees at any time. We will provide you with reasonable notice of any price changes. Your continued use of the service after a price change constitutes acceptance of the new pricing.

No Refunds

All subscription fees are non-refundable. We do not provide refunds or credits for partial subscription periods, unused content, or if you cancel your subscription before the end of a billing cycle.

9. Prohibited Uses

You agree not to use Good Vibes Wellness services to:

Violate any local, state, national, or international law or regulation
Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
Impersonate or attempt to impersonate Good Vibes, a Good Vibes employee, another user, or any other person or entity
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the services
Introduce viruses, malware, or other malicious code
Attempt to gain unauthorized access to any portion of the services, other accounts, computer systems, or networks
Interfere with or disrupt the services or servers or networks connected to the services
Use any automated system, including "robots," "spiders," or "scrapers" to access the services
Share your account credentials or subscription access with others
Download, copy, or redistribute content for commercial purposes or mass distribution
Use the services in any way that could damage, disable, overburden, or impair the services

Violation of these prohibited uses may result in immediate termination of your account and legal action.

10. Age Requirements

You must be at least 18 years old to create an account and subscribe to Good Vibes Wellness services. If you are under 18, you may only use the services with the involvement and consent of a parent or legal guardian. By using our services, you represent that you meet these age requirements.

11. Device Apps and Platform-Specific Terms

Good Vibes Wellness provides applications for various platforms including iOS, Android, Fire TV, Samsung Tizen, LG webOS, and other devices. By downloading or using our apps, you agree to:

Comply with all applicable app store terms and conditions (Apple App Store, Google Play Store, Amazon Appstore, etc.)
Use the apps only on authorized devices
Not modify, reverse engineer, or create derivative works of any app
Accept that app features and availability may vary by platform
Understand that we are not responsible for third-party platform policies or technical issues

We reserve the right to update, modify, or discontinue any app at any time without prior notice.

12. Indemnification

You agree to defend, indemnify, and hold harmless Good Vibes Wellness, its affiliates, licensors, employees, agents, officers, and directors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Your violation of these Terms
Your use or misuse of the services
Your violation of any rights of another party
Any content you submit or share through the services
Your violation of any law or regulation

This indemnification obligation will survive termination of these Terms and your use of the services.

13. Miscellaneous

If any of these Terms is determined to be void or unenforceable, such determination shall not affect the rest of the Terms, which shall continue to be in force. These Terms supersede any prior agreements or terms, whether written, oral, express or implied, between you and Good Vibes or the Website.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Good Vibes Wellness regarding your use of the services.

Assignment

Good Vibes may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Good Vibes' failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Before using the Website or accessing any information provided by Good Vibes, you acknowledge that you have read, understood, and agreed to all of these Terms. Your agreement to all of these Terms is an express condition precedent to you using the Website or any Good Vibes provided information.
